Responsibilities:

We are seeking an experienced and proactive Legal Counsel to join Inception’s in-house legal team. The ideal candidate will play a key role in providing strategic legal advice, managing legal risks, and ensuring compliance with regulatory requirements in a rapidly evolving AI landscape. This is a unique opportunity to influence critical business decisions and support the growth of a transformative technology company.

At Inception, you will play a pivotal role in managing and negotiating a wide range of commercial agreements with a particular focus on technology, AI, and Intellectual Property (IP) matters. You will work closely with the General Counsel and Deputy General Counsel in safeguarding Inception’s legal interests while fostering strategic relationships with partners, suppliers, customers and contractors. Your legal expertise in complex technology contracting and intellectual property management will be critical as Inception continues to expand its portfolio of AI-driven solutions.

Your key responsibilities

As Legal Counsel, You Will Oversee a Variety Of Legal Matters With a Strong Focus On Commercial Contracting And Intellectual Property Rights, The Scope Of Your Responsibilities Will Include:

• Commercial Contracting:
• Draft, review, and negotiate a variety of complex commercial contracts including Master Service Agreements (MSAs) with suppliers, contractors, and other service providers.
• Lead the negotiation of collaboration, co-development, and partnership agreements with other AI and software providers.
• Provide legal expertise on memorandums of understanding (MOUs) and partnership agreements to ensure alignment with business objectives.
• Develop and maintain templates for commercial contracts that can be used across the organization, streamlining the contracting process.
• Intellectual Property (IP) and Licensing:
• Manage IP licensing agreements, ensuring the protection and proper use of Inception’s intellectual property.
• Provide strategic legal advice on IP ownership and co-development rights in collaborative AI projects and provide guidance to protect Inception’s proprietary technology and mitigate IP-related risks
• G42 Group Company Contracts:
• Review and negotiate MSAs, partnership an collaboration agreements between Inception and other G42 group companies, ensuring legal compliance and risk mitigation.
• Advise on intra-group transactions, including licensing of IP and the sharing of proprietary technology between affiliated companies.
• Risk Management and Compliance:
• Ensure that all agreements comply with applicable laws and regulations, with a focus on identifying and mitigating emerging technology risks such as data privacy and intellectual property.
• Identify potential legal risks and develop mitigation strategies to protect Inception’s business and IP assets.
• Team leadership and Cross-Functional Collaboration:
• Work closely with the General Counsel, business development, R&D, and technology teams to ensure that all legal considerations are aligned with business strategies.
• Collaborate with external legal advisors when necessary, ensuring cost-effective and comprehensive legal support.
• Mentor and provide guidance to junior legal team members.
  
  

Qualifications:

Required qualifications:

• Bachelor’s degree in law, juris doctor (JD) or equivalent legal degree.
• Minimum of 7 years of experience in a legal role, with a focus on technology commercial contracting and IP.
• Exceptional verbal and written communication skills in English.
• Ability to work independently and as part of a team in a fast-paced environment.
• Qualified to practice law in the UAE or an internationally recognized jurisdiction.
  
  

Preferred Qualifications:

• Experience working in-house preferred, preferably in a technology, machine learning or AI company
• Strong expertise in technology law, data privacy, intellectual property, and regulatory compliance.
• Experience advising on AI-related legal issues and understanding of the ethical implications of AI.
• Proven ability to manage complex legal projects and provide practical, business-oriented advice.
• Excellent negotiation, drafting, and communication skills.
• High level of integrity, discretion, and professionalism.
• Knowledge of the legal and regulatory framework of the UAE
