The Manager role within the Waystone Corporate Secretarial Services function will be responsible for the delivery of services to a diverse portfolio of external clients, the management of a small team of individuals to deliver services for the business and the development of a robust Corporate Secretarial Services framework in the jurisdiction. The minimum expectation of the role is as set out below.

Role and Responsibilities.

  • Ensure client files and corporate records are maintained and updated appropriately;
  • Develop, lead and refine projects as they arise, delegating appropriately;
  • Liaise professionally and effectively with management, entity boards and senior staff;
  • Assist in the compilation and preparation of management information as and when required;
  • Display an in-depth understanding of fund corporate governance practices and regulatory filing requirements in the UAE and keep abreast of all regulatory changes;
  • Liaise independently, and in a timely and professional manner, with fund service providers and clients;
  • Organise board and committee meetings;
  • Prepare board papers, board meeting documentation, attend meetings and produce minutes of meetings;
  • Maintain and update corporate records (to include the use of entity management software);
  • Prepare resolutions and other corporate documentation;
  • Prepare and make filings in respect of clients;
  • Review and oversee the preparation of documents, filings, minutes and resolutions by junior team members in order to ensure appropriate standards are maintained;
  • Ensure appropriate prioritisation of workload, identification of and escalation of scheduling conflicts and delays;
  • Develop jurisdiction specific policies and procedures, as necessary;
  • Implement standardized procedures and checklists in accordance with the requirements of the jurisdiction;
  • Identify opportunities for cross-selling products;
  • Display keen attention to detail and excellent communication skills;
  • Actively question methods and processes with the key to making the team more effective and efficient;
  • Be able/willing to take on additional duties as and when required;
  • Follow current Waystone policies and procedures as set out in the Employee Handbook.

Experience

  • You have a minimum of 5 years of relevant corporate secretarial experience.
  • You have experience as a manager of direct reports.
  • You are highly organized, proactive, have attention to detail and a sense of responsibility and priority management.
  • You are able to work independently in an environment under pressure and to tight deadlines.
  • You are fluent in English (written and spoken)
  • You are proficient in MS Office (Word, Excel, Outlook and Teams).
  • You have a strong knowledge of UAE corporate and/or fund regulations.

Education

  • You hold a degree in Business or Law or equivalent experience with a focus on company secretarial services.
  • You have completed your graduate ICSA qualification or will be working towards the qualification
