Job Summary:

The Senior Legal Manager is responsible for supporting the legal functions of the organization, ensuring compliance with UAE laws and regulations, managing legal risks, and providing legal counsel across various industries. This role requires working closely with executive leadership, the legal team, and external legal advisors to safeguard the company’s interests and contribute to its business goals.

KEY RESPONSIBILITIES:

LEGAL STRATEGY & COMPLIANCE:

• Assist in the development and implementation of the legal strategy aligned with business objectives.
• Ensure compliance with UAE laws, regulations, and international best practices.
• Monitor legal developments and advise on their impact on the business.
• Support corporate governance and regulatory compliance across subsidiaries.

CORPORATE & COMMERCIAL LAW:

• Draft, review, and negotiate contracts, MOUs, and agreements across various sectors.
• Provide legal support in mergers, acquisitions, joint ventures, and investments.
• Counsel on corporate structuring, business expansion, and financial agreements.

RISK MANAGEMENT & LITIGATION:

• Identify legal risks and help develop strategies to mitigate them.
• Oversee litigation and disputes, collaborating with external legal advisors.
• Contribute to risk assessments for business decisions.

INDUSTRY-SPECIFIC LEGAL SUPPORT:

• Provide legal expertise in various industries, including but not limited to:
• Financial & Banking: Regulatory compliance, transactions, financial regulations.
• Construction & Real Estate: Contract negotiations, dispute resolution.
• Investment & Retail: Commercial contracts, securities regulations.
• Technology (AI & ML Software): Data privacy, intellectual property, licensing.

CORPORATE GOVERNANCE & BOARD RELATIONS:

• Provide legal guidance to senior management and the Board of Directors.
• Assist in regulatory filings and corporate documentation.
• Contribute to corporate policies and ethical frameworks.

TEAM SUPPORT & EXTERNAL RELATIONS:

• Collaborate with and support the internal legal team.
• Coordinate with external law firms, regulatory authorities, and government bodies.
• Maintain relationships with industry regulators, joint venture partners, and investors.

QUALIFICATIONS & SKILLS:

• Education: LLB/LLM from a recognized university; additional certifications (CIS, CLP) preferred.
• Experience: 8-12 years of UAE legal experience, with a focus on diverse business sectors.
• Languages: Fluent in English and Arabic (Mandatory).
• Skills: Strong negotiation, analytical, and problem-solving skills.
• Industry Knowledge: Knowledge of UAE legal frameworks in various industries.
