Senior Specialist - Transaction Support Services

Overview

Looking for a seasoned, accomplished Senior Specialist with a proven track record to manage all allied services related to the negotiation and closure of mergers, acquisitions and divestitures at G42 and its varied Business Units.

As a Senior Specialist – Transaction Support Services, you get to play a pivotal role in the overall growth, profitability and market share of the G42 Group and its Business Units by providing vital transaction support services to the M & A division.

Responsibilities

• You will support the financial planning, target identification, negotiation, closure and implementation of all mergers, acquisitions and divestitures across G42 and its Business Units.
• Assist in analyzing the financial impact of merger and acquisitions on G42 & its business units in terms of estimating cash flows and the potential for profitability.
• Work with your line manager in identifying potential risks in the acquisition opportunities and providing inputs in creating corresponding solutions.
• Provide insights into strategic advice given by the G42 TSS team to the CFO/G42 Leadership in order to enable informed decision-making.
• Provide inputs into the process of developing budgets for new acquisitions.
• Escalate, on time, the operational issues arising at newly acquired entities that require coordination with other departments.
• Assist in performing (or, where applicable, coordinating with external advisers to perform) commercial and financial due diligence procedures on targets.
• Provide post-merger integration inputs in order to support the business integration of newly acquired entities into the G42 ecosystem.
• Assist in preparing valuation models for acquisition/divestment of targets following G42’s TSS standards.
• Provide inputs towards developing valuation ranges for acquisition/divestment of targets in order to assist G42 Leadership with negotiations.
• Gather important information regarding risks and opportunities for current and future TSS activities and translate this information into fact-based and well-reasoned business insights.
• Assist with financial modelling and financial analysis in evaluating acquisition targets.
• Interact with both internal (i.e. G42) and external business leaders in the post-merger integration process for newly acquired entities.
• Ensure compliance with internal (G42) TSS policies, processes and Provide inputs for proactively analyzing the financial reporting impact of new acquisitions prior to and post deal completion, alerting the TSS team leader regarding any unusual aspects or pitfalls.
• Post completion of acquisitions, provide inputs into the annual budgeting, management reporting and financial reporting processes of newly acquired entities.
  
  

Qualifications

Master's Degree in Business Administration, Corporate Finance, Economics or related field

• Minimum 5 years of experience in Investment Banking, Management Consulting, Private Equity, Corporate M&A
• At lea5st 4 years of experience in driving a broad range of M&A deal types in an AI and Cloud Computing focused organization
• Extensive knowledge of state, federal and international laws and regulations relevant to business operations.
• Extensive financial market, competition and industry knowledge
• Outstanding sales, negotiation and persuasion skills
