Role Summary:
The Corporate Legal Consultant will provide expert legal advice and services to organizations on corporate and commercial matters within the UAE market. The ideal candidate will have in-depth knowledge of UAE corporate laws and regulations, excellent analytical and advisory skills, and experience dealing with legal compliance, business transactions, and dispute resolution.
Key Responsibilities:
Corporate Structuring & Compliance:
- Advise on company formation, restructuring, mergers, and acquisitions.
- Ensure compliance with UAE corporate and commercial laws, including free zone and mainland regulations.
Contracts & Agreements:
- Draft, review, and negotiate various agreements, including partnership agreements, shareholder agreements, MOUs, NDAs, and supplier contracts.
- Provide legal guidance on contract enforceability and risk management.
Legal Advisory:
- Counsel clients on legal rights, obligations, and liabilities concerning business operations in the UAE.
- Assist with intellectual property registration and protection.
Regulatory Compliance:
- Advise on UAE labor laws, VAT regulations, and sector-specific compliance requirements.
- Keep abreast of updates in UAE laws and regulations, ensuring clients remain compliant.
Dispute Resolution & Litigation Support:
- Represent clients in arbitration, mediation, and other dispute resolution forums.
- Coordinate with external law firms for litigation proceedings.
Risk Management:
- Identify and mitigate legal risks in business operations and transactions.
- Develop strategies to protect the company’s interests and minimize liabilities.
Qualifications and Requirements:
Education:
- Bachelor’s or Master’s degree in Law (LLB or LLM).
Experience:
- 8+ years of experience in corporate and commercial law in the UAE.
- Proven track record in advising businesses on legal matters within the UAE market.
Skills:
- Strong understanding of UAE legal systems, including DIFC and ADGM regulations.
- Excellent contract drafting, negotiation, and communication skills.
- Proficient in Arabic and English (both written and spoken) is highly desirable.
Other:
- Ability to work independently and as part of a team.
- Attention to detail and strong analytical skills.
- Sound judgment and decision-making ability under pressure.
Preferred Attributes:
- Experience in cross-border transactions.
- Familiarity with investment laws and corporate taxation in the UAE.
- Exposure to industries such as real estate, finance, construction, or technology.
