The Role
The Corporate Structuring Officer is responsible for managing and executing all aspects of company formation and structuring across the UAE’s jurisdictions, including mainland, free zones, and offshore centres. The role ensures that entities are incorporated efficiently, in compliance with relevant regulatory and licensing requirements, and aligned with clients’ strategic, operational, and ownership objectives.
This position involves end-to-end oversight of the incorporation process from initial structuring advice and jurisdiction selection to document preparation, submission, liaison with government authorities, and licence issuance. The officer serves as a key point of contact for clients and internal stakeholders, ensuring each setup is delivered accurately, on time, and in accordance with UAE corporate, regulatory, and compliance frameworks.
Key Responsibilities
Licensing & Entity Formation
- Demonstrate strong technical knowledge of UAE entity registration frameworks, including mainland, free zone, and financial zones (including ADGM).
- Manage the end-to-end business registration process, including incorporation, licensing, amendments, renewals, and related filings, ensuring accuracy and compliance at each stage.
- Prepare, review, and submit incorporation and licensing applications through relevant government and free zone portals, ensuring all documentation meets regulatory requirements.
- Support the Head of Licensing with new client enquiries by assessing feasibility, including appropriate structuring options, eligibility criteria, indicative timelines, and applicable government and third-party fees.
Compliance, Governance & Regulatory Awareness
- Maintain complete, accurate, and up-to-date client files, registers, and internal systems (including CRM and cloud platforms), liaising with Legal, Finance, and Compliance teams to support corporate governance and regulatory requirements.
- Monitor and record changes in UAE laws, regulations, and procedures relevant to entity formation and licensing, proactively highlighting impacts and recommending next steps.
- Ensure all licensing activity is conducted in line with applicable regulatory requirements, escalating complex or high-risk matters to the Head of Licensing where required.
Cross-Department Collaboration & Client Experience
- Work closely with internal departments (including Business Development, Labour & Immigration, Compliance, and Finance) to ensure a seamless end-to-end client journey from initial enquiry through to post-incorporation support.
- Act as a key point of coordination to ensure information shared with clients is accurate, consistent, and aligned across all service lines.
- Champion the client experience, taking a proactive and solutions-focused approach, and thinking creatively where appropriate to resolve issues and support client objectives.
Stakeholder & Authority Management
- Build and maintain effective working relationships with government authorities, free zones, and regulatory bodies to support efficient case progression and issue resolution.
- Onboard new clients and manage authority interactions in a professional and timely manner, ensuring services are delivered within agreed timelines.
Systems, Accuracy & Service Delivery
- Maintain a strong working knowledge of authority and free zone online portals and submission processes.
- Take ownership of the accuracy and completeness of all submissions, records, and client communications.
- Ensure licensing cases are progressed in line with agreed service levels, with clear communication to clients and internal stakeholders throughout.
Requirements for the Role
- Minimum of 3 years’ experience in the UAE within a Corporate Services Provider, with at least 1 year specifically focused on the ADGM jurisdiction.
- Bachelor’s degree or equivalent qualification.
- Fluent in English with excellent verbal and written communication skills.
- Proven experience in a client-facing and account management role.
- Demonstrated ability to deliver high standards of customer service with a focus on responsiveness, professionalism, and tailored client solutions.
- Previous experience in mentoring or team leadership is an advantage.
- Strong written communication skills, with the ability to convey complex regulatory matters clearly to clients and stakeholders.
- Excellent project management, planning, and organisational skills.
- Strong interpersonal skills and a collaborative approach to teamwork.
- Proficient in relevant IT systems and tools required to perform the role efficiently.

Working hours & flexibility
- Standard office hours: 8:30am – 5:30pm, Monday to Friday
